These Terms of Service ("Terms") are provided by Smart Talk, LLC ("PealCast," "we," "us," or "our") and govern your access to and use of the PealCast service. By creating an account or using PealCast, you ("Customer," "your church," or "you") agree to these Terms. If you are accepting on behalf of a church or organization, you represent that you are authorized to bind it. Your church remains responsible for its own compliance obligations, including obtaining member consent for messaging and holding required licenses such as a CCLI streaming or worship license. These Terms are not legal advice.
By registering for, accessing, or using PealCast, you agree to be bound by these Terms and by our Privacy Policy and SMS & Messaging Terms, which are incorporated by reference. If you do not agree, do not use PealCast.
PealCast is a follow-up platform for online church. It helps a church notify members when a live stream begins, capture a verified audience, measure per-person watch statistics, and produce a weekly follow-up report (the "Shepherd's Report"), with the option to sync data to the church's church-management system such as Planning Center. We may add, change, or discontinue features from time to time.
You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. You must be a church or an organization (and an authorized representative of one) eligible to use the service, and you must be able to form a binding contract.
You agree not to use PealCast to:
PealCast, including its software, design, and brand, is owned by Smart Talk, LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, subject to these Terms. You retain ownership of your own content.
The church's audience list and member data remain the church's. We process that data on your behalf to provide the service, as described in our Privacy Policy. We do not sell it, and we do not use your members' data for our own marketing. On termination, you may request an export of your data, and we will delete or return it as described in the Privacy Policy and applicable law.
PealCast relies on third-party services to operate, including Cloudflare (video delivery and infrastructure), Planning Center and other church-management systems (data sync at your direction), SignalWire and/or Twilio (text messaging), Amazon SES (email), and Stripe (payments). Your use of features that depend on these services may also be subject to their terms, and we are not responsible for third-party services outside our control.
PealCast is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that notifications or deliveries will always be timely or successful.
To the maximum extent permitted by law, Smart Talk, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amounts you paid to us for the service in the twelve months before the event giving rise to the claim.
You agree to indemnify and hold harmless Smart Talk, LLC and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, your content, your messaging to members, your failure to obtain required consents or licenses, or your breach of these Terms or applicable law.
You may stop using and cancel PealCast at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that creates legal or security risk. On termination, your right to use the service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.
These Terms are governed by the laws of the State of [Delaware], without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there, except where applicable law requires otherwise.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide additional notice where appropriate. Your continued use of PealCast after an update means you accept the revised Terms.
