Terms of Service

These Terms of Service ("Terms") are provided by Smart Talk, LLC ("PealCast," "we," "us," or "our") and govern your access to and use of the PealCast service. By creating an account or using PealCast, you ("Customer," "your church," or "you") agree to these Terms. If you are accepting on behalf of a church or organization, you represent that you are authorized to bind it. Your church remains responsible for its own compliance obligations, including obtaining member consent for messaging and holding required licenses such as a CCLI streaming or worship license. These Terms are not legal advice.

PealCast is in Beta

PealCast is a new and actively-developed service, and you are joining as an early partner. As a Beta and Founding church you receive founding pricing — 50% off your first year, then your price locked at today’s rate for the life of your account (first 100 churches) — in exchange for helping us shape the product: your feedback, feature requests, and bug reports directly guide what we build and fix. In return, please understand that during Beta features may be added, changed, or removed, and you may occasionally encounter issues; we work quickly to resolve them. If you hit a problem, please report it here — it genuinely helps. Nothing in this notice limits or waives the service-availability, disclaimer, and limitation-of-liability sections below, which apply in full during Beta.

1. Acceptance of these Terms

By registering for, accessing, or using PealCast, you agree to be bound by these Terms and by our Privacy Policy and SMS & Messaging Terms, which are incorporated by reference. If you do not agree, do not use PealCast.

2. Description of the service

PealCast is a follow-up platform for online church. It helps a church notify members when a live stream begins, capture a verified audience, measure per-person watch statistics, and produce a weekly follow-up report (the "Shepherd's Report"), with the option to sync data to the church's church-management system such as Planning Center. We may add, change, or discontinue features from time to time.

3. Accounts and eligibility

You must provide accurate registration information and keep it current. You are responsible for safeguarding your account credentials and for all activity under your account. You must be a church or an organization (and an authorized representative of one) eligible to use the service, and you must be able to form a binding contract.

Account & support text messages (SMS)

When you create an account and provide a mobile number, you agree to these Terms and you consent to receive account & support text messages from PealCast at that number — including one-time verification codes, service and security notices, and support replies. Message and data rates may apply and message frequency varies. You can opt out of these texts at any time by replying STOP, or reply HELP for help; opting out may limit account and security features that rely on SMS (such as sign-in codes). This consent is also captured at sign-up, and the full messaging terms are in our SMS & Messaging Terms. This is separate from your own obligation, as a church, to obtain your members’ consent before sending them go-live or other messages through PealCast (see “Customer responsibilities” below).

4. Billing and subscriptions

  • PealCast is offered as a subscription in tiers priced by church size (Small, Medium, Large, Multi-Campus, and Custom), with the applicable features and limits described at the time of purchase.
  • Your first 30 days are free and require no payment card. After that, if you have not chosen a paid plan, your account continues on our free plan — a smaller monthly allowance of streaming minutes, recording archive, and channels, described at pealcast.io/pricing. We do not bill an account that has not chosen a paid plan and given us a payment method.
  • Paid subscriptions are billed on a recurring monthly basis, or annually and pre-paid in advance where you select an annual plan. There is no setup or onboarding fee. Fees are stated exclusive of any applicable taxes.
  • Streaming usage is measured by minutes delivered. Each plan includes a pooled monthly allotment of streaming minutes, and usage is metered by the total minutes of video delivered — that is, streamed to viewers’ devices — pooled across your organization, consistent with how our upstream streaming provider meters delivery. Delivered minutes are counted whether or not a viewer watches the delivered video (for example, if a viewer loads a stream and the video is delivered but not watched). Included minutes reset at the start of each billing month and do not roll over; usage beyond the included pool is billed as overage in the blocks described at the time of purchase. Per-viewer “minutes watched” shown in your dashboard is provided for your analytics and is not the basis for billing.
  • Payment is processed by our third-party payment processor, Stripe, which handles card processing; we do not store full card details. Your use of payment features is also subject to Stripe's terms.
  • If a payment fails, your account is marked past due and we may suspend access to the service until payment is resolved. We allow at least 72 hours from the first failed payment before your live stream stops serving viewers, so that a card problem on a Saturday does not take a Sunday service down. Suspension for non-payment does not delete your recordings or your audience data.
  • No refunds. To the fullest extent permitted by law, all fees and payments are non-refundable and non-cancelable — including recurring subscription fees, pre-paid and annual amounts, overage and usage charges, and any account credits or credit top-ups. You may cancel at any time; cancellation stops future billing and takes effect at the end of the current billing period, but we do not refund or prorate any pre-paid or unused portion of a term.
  • Account credits. Any account credit — including referral credits and promotional or pre-paid credit bonuses — applies only toward future PealCast charges on your account, is non-refundable, has no cash value, cannot be redeemed for cash, and is non-transferable. Adding pre-paid credit to your account (including any bonus credit) is a final, non-refundable purchase.

5. Acceptable use

You agree not to use PealCast to:

  • Send messages to people who have not consented to receive them, or send unlawful, harassing, deceptive, or unsolicited messages.
  • Violate any law, regulation, carrier requirement, or third party's rights, including intellectual-property, privacy, and telemarketing/consumer-protection laws.
  • Stream or distribute content you do not have the rights or licenses to use.
  • Interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the service or its systems.
  • Upload malware or use the service to transmit harmful or illegal content.

6. Customer responsibilities

  • Consent for messaging. You are responsible for obtaining and maintaining valid consent from your members before sending them text or other messages, and for honoring opt-outs, consistent with the TCPA, 10DLC/A2P requirements, and applicable law.
  • Licenses. You are responsible for holding all licenses required to stream your services and content, including any required CCLI streaming or worship license, and for attesting to that where prompted.
  • Accuracy of data. You are responsible for the accuracy and lawfulness of the data you and your members provide, and for your own use of the reports and data the service produces.
  • Your members. You are responsible for your relationship with your members, including any privacy notices or disclosures you owe them.

7. Intellectual property

PealCast, including its software, design, and brand, is owned by Smart Talk, LLC and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription, subject to these Terms. You retain ownership of your own content.

8. Data ownership — your audience stays yours

The church's audience list and member data remain the church's. We process that data on your behalf to provide the service, as described in our Privacy Policy. We do not sell it, and we do not use your members' data for our own marketing. On termination, you may request an export of your data, and we will delete or return it as described in the Privacy Policy and applicable law.

9. Third-party services

PealCast relies on third-party services to operate, including Cloudflare (video streaming and delivery), Planning Center and other church-management systems (data sync at your direction), SignalWire (text messaging), Amazon Web Services (hosting, email, and infrastructure), and Stripe (payments). Your use of features that depend on these services may also be subject to their terms, and we are not responsible for third-party services outside our control.

If you choose to connect your own YouTube channel so PealCast can simulcast your service to it, PealCast uses YouTube API Services on your behalf, and you agree to be bound by the YouTube Terms of Service. Google's handling of the information it receives is described in the Google Privacy Policy, and you can revoke PealCast's access to your Google account at any time at https://myaccount.google.com/permissions. What PealCast accesses, why, and how it is stored is set out in our Privacy Policy.

10. Disclaimers

PealCast is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that notifications or deliveries will always be timely or successful.

11. Limitation of liability

To the maximum extent permitted by law, Smart Talk, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability arising out of or relating to the service will not exceed the amounts you paid to us for the service in the twelve months before the event giving rise to the claim.

12. Indemnification

You agree to indemnify and hold harmless Smart Talk, LLC and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the service, your content, your messaging to members, your failure to obtain required consents or licenses, or your breach of these Terms or applicable law.

13. Termination

You may stop using and cancel PealCast at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the service in a way that creates legal or security risk. On termination, your right to use the service ends; sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

14. Governing law

These Terms are governed by the laws of the state in which Smart Talk, LLC is organized, without regard to its conflict-of-laws rules, and the parties consent to the exclusive jurisdiction of the state and federal courts located there, except where applicable law requires otherwise.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above and, for material changes, provide additional notice where appropriate. Your continued use of PealCast after an update means you accept the revised Terms.

16. Testimonials and publicity

When you sign up for PealCast, you agree to provide a testimonial about your experience with the service, and you grant Smart Talk, LLC a worldwide, royalty-free license to use your church's name and logo, your name, title, and profile picture, and your testimonial or quotes in our marketing, on our website, and in other promotional materials. You may ask us to stop using them for future materials at any time by emailing support@pealcast.io; that withdrawal does not affect materials already published.
